Public law firm. Performed research, preparation of pleadings, law and motion matters, trial and appellate briefs, represented clients in administrative hearings and provided research and litigation support to Director and staff attorneys.

General practice/business/litigation firm. Research and preparation of pleadings, law and motion matters, trial and appellate briefs, discovery and discovery responses and transactional documents. Provided research and litigation support to Partners.

Private Practice, 1983-2000

Represented a variety of business clients in planning, litigation and transactional matters, including preparation of general and specialty contracts, real property transactions and disputes, and substantial construction law and construction collections. In addition, represented individuals in personal injury, probate, litigation, estate planning and transactional matters.

Acted as a Pro Tem Judge to the Marin County Municipal Court in both the Small Claims and Traffic Divisions.

In the past ten years, the focus of practice has included general legal work, planning, litigation and transactional work for business clients. Acted as general counsel for a number of companies in the construction, high tech and other industries, providing general legal advice and counsel in contract matters, real estate transactions and disputes, loan transactions and employment matters, including review of policy manuals, general employee relations advice and establishing sexual harassment programs. Provided oversight and supervision of outside counsel in both out-of-state litigation and in state specialty litigation, including review of strategy, work product and billing quality and accuracy. In the course of this representation, handled intellectual property matters such as patent, trademark and copyright.

Taught Legal Research (approx. 25 students) for the College of Marin Court Reporting Program. As sole instructor, I prepared lesson plans, prepared grades, kept all attendance and grading records.

General Counsel for hardware sales company with software start up component. Handled all legal matters, including all contract negotiations for company vendors, in/out software and other intellectual property licenses, non disclosures agreements, compliance issues, litigation matters and advised management on all corporate governance and employment matters. Drafted web site policies and advised management regarding compliance, contract, privacy and access issues. Managed IP portfolio, including overseeing outside patent counsel, preparing and filing all trademark applications and reporting. Drafted and participated in the drafting of patent applications (formal and provisional applications). Participated in three rounds of private placement financing.

In addition, served as Acting Director of Human Resources, handling all employee resource issues, including employee search, promotions/hiring/discipline/termination. Managed all benefit programs.

  • 2002-Present Position: Vice President of Legal Affairs

General Counsel for developer of financial services software products with securities trading component. Responsible for all legal matters, including licensing, regulatory, Internet presence legal issues (compliance, contract, privacy and access issues) and HR matters from start up. Position covers all litigation, intellectual property and transactional matters, and responsibility for managing IP portfolio, interfacing with Outside Patent Counsel. Key Man involvement in day to day business activities and decisions, including equity and debt financings.

CCO for financial services firs, overseeing all SEC and regulatory registrations, filings and personnel matters.

From early 2002 have continued to represent both business clients (as both outside and in house General Counsel) and individual clients in a variety of transactional and litigation matters, and have pursued other non-legal related business ventures.

Community Service

Rotary Club of Terra Linda– As Director of Youth Services, established middle school scholarship and robotics programs, Terra Linda High School Interact Community Service Club, and a Teacher’s Recognition program for local schoolteachers. Coordinated job shadow and mock interview programs for Terra Linda High School, and worked with other Marin Rotary Clubs to set up a Rotoract Community Service Club at Dominican University in San Rafael. Designed, set up and maintains Club website. Participated in numerous community and international projects promoted by Terra Linda Rotary.
